Scope of application
These General Terms and Conditions (GTC) apply to all services, products and digital content offered by BRNLIT.AI GmbH, based in Basel, Switzerland. By using our services, you agree to these terms and conditions.
Services of BRNLIT.AI
BRNLIT.AI GmbH offers digital products, consulting, AI-supported applications and interactive content in the areas of communication, innovation and strategy. The exact scope of services can be found in the respective offer or contract.
General
The websites ("Websites"), mobile applications ("Apps") and related services (together with the Websites and Apps, the "Service") are operated by BRNLIT.AI GmbH, ("BRNLIT.AI," "us" or "we"). Access to and use of the Service is subject to the following Terms of Use ("Terms of Use"). By accessing or using any part of the Service, you agree that you have read, understood and accepted these Terms of Use, including any future modifications. BRNLIT.AI may change, update or modify these Terms of Use. If this happens, we will post a notice that we have made changes to these Terms of Service at least 7 days after posting and will indicate the date of the last revision at the beginning of the Terms of Service. Changes will become effective no earlier than the end of this 7-day period or upon your first access or use of the Service after such changes. If you do not agree to these Terms of Use, you are not authorized to use, access or participate in the Service.
Description of the website and the service
The Service allows Users to access and use a so-called learning signal. BRNLIT.AI may, in its sole discretion and at any time, update, change, suspend, improve or discontinue, temporarily or permanently, any aspect of the Service.
Permitted use of the services
You are responsible for your use of the Services and for any use of the Services through your account. Our goal is to create a positive, useful and safe user experience. To further this goal, we prohibit certain types of behavior that may be harmful to other users or to us. When using the Services, you must abide by our Community Guidelines.
The use of BRNLIT.AI GmbH offers is at your own risk. The content is not intended for medical, safety-critical or legally binding decisions.
Health information:
A small proportion of people with epilepsy suffer from so-called photosensitive epilepsy. These people react sensitively to visual stimuli, especially flickering light or rapidly changing visual content.
Important note:
Our content may contain visual elements that could trigger seizures in people with photosensitive epilepsy. Please consult a doctor before using BRNLIT.AI GmbH if you or a close relative suffer from epilepsy. In such cases, use is expressly at your own risk.
Additional conditions
Some of our Services are subject to additional terms and conditions ("Additional Terms"). If Additional Terms apply to a Service, we will make them available to you through your use of that Service. By using that Service, you agree to be bound by the Additional Terms.
Registration
In connection with the registration and use of the service, you agree to this:
(i) provide accurate, current and complete information about you and/or your organization upon request by BRNLIT.AI;
(ii) maintain the confidentiality of your password and other information related to the security of your account;
(iii) keep all registration information you provide to BRNLIT.AI accurate, current, complete and updated in a timely manner; and
(iv) to be fully responsible for all activity on your account and for all actions that occur through your account.
Guidelines for the community
You agree that you will only use the Service for lawful purposes and that you will respect the rights of other users of the Service. In your dealings with other users, you may not share any content that is unlawful, offensive, defamatory, harmful, threatening, harassing, abusive, libelous, vulgar, obscene, immoral, pornographic, xenophobic, discriminatory or otherwise objectionable.
You may not use the service to:
(i) collect personal information about other users;
(ii) create or promote fake or fraudulent ratings, reviews or activities;
(iii) impair or jeopardize the security of the service;
(iv) transmit or promote content that contains viruses, worms, malicious code or other harmful elements;
(v) infringe the intellectual property or other rights of third parties;
(vi) use the Service in a manner that is unlawful or in breach of these Terms of Use.
BRNLIT.AI reserves the right, in its sole discretion, to review, monitor, remove or edit content that violates these Terms of Use.
Fees
Some services require the payment of fees. By using these fee-based services, you agree to pay the specified fees. BRNLIT.AI reserves the right to change the fees for fee-based services at its sole discretion and to notify you of such changes. Any changes to the fees will not take effect until the relevant services are purchased or renewed again after the changes have been announced.
Intellectual property
The Services contain materials, including, but not limited to, text, software, photographs, videos, graphics, music and sound ("Material") that are protected by intellectual property rights. You agree not to copy, reproduce, distribute, transmit, display, publish, sell, license or otherwise use the Material without the express written consent of BRNLIT.AI or the owner of the intellectual property. You may use the material only for your personal and non-commercial use in connection with your use of the Service.
Brands
"BRNLIT.AI", the BRNLIT.AI logo and other BRNLIT.AI trademarks, service marks, graphics and logos used in connection with the Services are trademarks or registered trademarks of BRNLIT.AI. You may not copy, imitate or use these trademarks without the prior written permission of brnlit.ai.
Data protection
Use of the Service is also subject to our Privacy Policy, a copy of which can be found in our Privacy Policy. By using the Service, you agree to the terms of the Privacy Policy.
The protection of your personal data is a key concern for us. BRNLIT.AI GmbH complies with the applicable data protection regulations in Switzerland, in particular the Federal Act on Data Protection (FADP) and the corresponding ordinances.
Collection and processing:
Personal data is only collected if it is necessary for the provision of our services or if you provide it voluntarily (e.g. when contacting us or registering).
Purpose of data processing:
The data is used exclusively to provide our services, to improve our offer and to communicate with you.
Disclosure to third parties:
Your data will not be disclosed to third parties without your express consent, unless this is required by law.
Rights of data subjects:
You have the right to access, rectify, erase and restrict the processing of your personal data and the right to data portability at any time. Please address your requests to: privacy@brnlit.ai
Data security:
We take appropriate technical and organizational security measures to protect your data from loss, misuse or unauthorized access.
Automatic renewal conditions
Trial subscription / short subscription
By taking out a one-off short subscription (e.g. trial period of [ weeks/months]), the user acquires a time-limited subscription at the conditions specified in the ordering process.
Automatic conversion to an annual subscription
If the user does not cancel their short-term subscription online at least 7 days before it expires, the subscription is automatically extended without further notice into a paid annual subscription at the regular prices valid at the time of renewal.
Term of the annual subscription
The annual subscription has a fixed term of 12 months and is automatically renewed unless it is terminated in accordance with section 4.
Further renewals
Once the annual subscription has expired, the subscription is automatically renewed for a further 12 months unless the user cancels it online at least 30 days before expiry.
Cancellation
Cancellation can be made at any time using the function offered in the customer account. The timely dispatch of the notice of termination is sufficient to meet the deadline.
Note upon conclusion
During the ordering process, the user is clearly informed that the short-term subscription automatically converts into an annual subscription unless it is canceled in due time. By taking out a short subscription, the user expressly agrees to this renewal provision.
Conditions for all promotional codes
Promotional codes have no monetary value and cannot be redeemed for cash or a refund for an existing subscription or past purchase. You can only redeem each promotional code once. Some promotional codes may be subject to expiry dates or an overall limit on permitted redemptions. BRNLIT.AI may change, suspend or terminate a promotional code at any time for any reason. The resale or transfer of promotional codes is strictly prohibited. Any transferred promotional code will be declared void.
If a Promotion Code is redeemed or used in violation of this clause or other applicable terms, BRNLIT.AI may void such Promotion Code and terminate all services received from such Promotion Code without refund or exchange of any kind. In addition, if BRNLIT.AI determines that a user has abusively violated any applicable terms and conditions, BRNLIT.AI may exclude that user from redeeming or using promotional codes.
Applicable law
These Terms and Conditions shall be governed by the laws of Switzerland, excluding its conflict of law rules, regardless of your country of origin or the location from which you access the Service.
Choice of court
All legal proceedings relating to or arising out of these Terms and Conditions or the Service shall be instituted in the state or federal courts located in Basel, Canton of Basel City. Both parties hereby consent to the personal jurisdiction of the state and federal courts located in the Canton of Basel City, and waive any objection to venue in such courts.
Changes to the GTC
BRNLIT.AI GmbH reserves the right to amend these GTC at any time. The current version will be published on our website. Users will be notified of any significant changes.
Disclaimer
BRNLIT.AI GmbH is not liable for any direct or indirect damages arising from the use or non-use of the content provided, except in cases of gross negligence or willful misconduct.
In particular, any liability for health consequences in the event of non-compliance with the health notice under "Permitted use of the services" is excluded.
Language
This agreement was originally written in German. To the extent that a translated version of this Agreement conflicts with the German version, the German version shall prevail.
Miscellaneous
These Terms and Conditions constitute the entire agreement between BRNLIT.AI and you with respect to the subject matter hereof. If a court or other tribunal of competent jurisdiction finds any of the Terms and Conditions to be unenforceable, such provisions will be limited or eliminated to the minimum extent necessary so that these Terms and Conditions will otherwise remain in full force and effect. A waiver by brnlit.ai or you of any provision of these Terms and Conditions or of any breach thereof in any instance shall not waive such provision or condition or any subsequent breach thereof. brnlit.ai may assign its rights or obligations under these Terms and Conditions without condition. These Terms and Conditions are binding on brnlit.ai and you and will inure to the benefit of brnlit.ai and you and its respective successors and permitted assigns.
